1. Introduction

These Terms & Conditions govern your use of XNBC ("we", "us", "our"), operated by XNBC LLC ("the Seller"). By accessing or using our service, you agree to be bound by these terms. If you do not agree, you must not use the service.

2. Service Description

XNBC is a personal AI news channel platform that allows users to connect their own data sources (such as X timelines, lists, hashtags, RSS feeds, and Aligned News) and generate presenter-led broadcast content using their own third-party AI keys. We provide the channel layer; AI content generation is performed by third-party providers you connect.

3. Account & Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to keep it updated.

4. Acceptable Use

You may not use the service for any unlawful purpose, including but not limited to: fraud, spam, intellectual property infringement, distribution of malware, security interference, probing, scraping, or any activity that harms or disrupts the service or other users. You may not reverse engineer, decompile, or attempt to extract the source code of the service.

5. AI-Generated Content

XNBC uses generative AI to produce broadcast scripts and summaries from your selected sources. You are solely responsible for your prompts, inputs, and how you use the outputs. AI-generated content may be inaccurate, incomplete, or unsuitable for regulated professional advice. You must verify outputs before relying on them. You represent that you have the right to use all input content you provide.

You must not use the service to generate illegal content, deepfakes, hate speech, malware, or to attempt to jailbreak or bypass safety systems. We reserve the right to review, filter, or remove content and suspend accounts for repeated or serious violations.

6. Intellectual Property

All intellectual property rights in the service, including software, documentation, branding, and designs, are owned by XNBC LLC or our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the service within the bounds of your selected plan. You may not resell, redistribute, or sublicense the service.

You retain ownership of your inputs. By using the service, you grant us a limited licence to host and process your content solely for the purpose of providing the service to you.

7. Payments & Subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. For payment, billing, tax, cancellation, and refund mechanics, please refer to Paddle's Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms.

Subscriptions renew automatically unless cancelled. You can cancel at any time from the Billing page or via Paddle's customer portal. Cancellations take effect at the end of the current billing period.

8. Service Level

We do not guarantee that the service will be uninterrupted, error-free, or secure. The service is provided "as is" and "as available". We may suspend or restrict access for maintenance, security, or other operational reasons.

9. Termination & Suspension

We may suspend or terminate your access immediately, without notice, for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the service ceases immediately. We may delete your data in accordance with our data retention policies.

10. Warranties & Disclaimers

To the fullest extent permitted by law, all implied warranties (including merchantability, fitness for purpose, and non-infringement) are excluded. We make no warranty that the service will meet your requirements or that any errors will be corrected.

11. Limitation of Liability

To the maximum extent permitted by applicable law, XNBC LLC shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use of the service, even if advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising under or in connection with these terms shall be limited to the total amount you paid us in the 12 months preceding the claim. Nothing in these terms excludes or limits liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

12. Indemnity

You agree to indemnify and hold harmless XNBC LLC, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the service, your content, your violation of these terms, or your violation of any third-party rights.

13. Third-Party Services

The service integrates with third-party APIs and AI providers (including OpenAI, xAI, X, and Aligned News). Your use of those services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

14. Governing Law & Jurisdiction

These Terms & Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.

15. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by email or through the service. Continued use after changes constitutes acceptance of the revised terms.
